1Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Practice," "you," or "your") and Diginetplore LLC, doing business as DigiNetDental ("DigiNetDental," "we," "us," or "our"), governing your access to and use of the DigiNetDental AI voice agent platform and related services (collectively, the "Services").

By accessing or using our Services, you represent that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of your dental practice, and agree to be bound by these Terms and our Privacy Policy.

2Description of Services

DigiNetDental provides an AI-powered voice agent platform for dental practices that includes:

• 24/7 AI voice agent that answers patient calls and books appointments
• Integration with dental Practice Management Software (PMS) including Dentrix, Eaglesoft, Open Dental, and others
• Google Calendar integration for practices without a supported PMS
• Real-time dashboard showing call logs, transcripts, and appointment data
• Analytics and performance reporting
• Hygiene recare outbound calling (Pro plan only)
• GEO-optimized chatbot for your practice website
• Progressive Web App (PWA) after qualifying period

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice.

3Account Registration

To use our Services, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at hello@diginetdental.com of any unauthorized use
• Ensuring all information you provide is accurate and kept up to date

You may not share your account credentials with third parties or create accounts on behalf of others without authorization.

4Subscription & Billing

DigiNetDental offers the following subscription plans:

• Starter Plan: $997/month — AI voice agent, PMS integration, dashboard, unlimited calls
• Pro Plan: $1,297/month — All Starter features plus hygiene recare outbound calling, advanced analytics, priority support

Billing terms:

• Subscriptions are billed monthly in advance
• Payment is processed securely through Stripe
• Subscriptions automatically renew unless cancelled
• No setup fees or hidden charges
• Price changes will be communicated 30 days in advance

530-Day Trial & Guarantee

Terms of the guarantee:

• The guarantee applies to the first 30 days of your subscription
• Appointments must be booked by the AI voice agent (not manually entered)
• The refund request must be submitted within 35 days of your start date
• You must have completed the onboarding process and have the AI agent fully configured
• Refund requests are reviewed within 5 business days
• Only one guarantee claim per practice

To request a refund under the guarantee, email hello@diginetdental.com with your account details and guarantee claim.

6Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services for any illegal purpose or in violation of any federal, state, or local laws
• Violate HIPAA or any other healthcare privacy regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the AI agent to make calls that violate the Telephone Consumer Protection Act (TCPA)
• Reverse engineer, decompile, or attempt to extract our source code
• Resell or sublicense access to our Services without written permission
• Use the Services to harass, abuse, or harm patients or any individuals

7Intellectual Property

All intellectual property rights in the Services, including software, algorithms, designs, trademarks, and content, are owned by Diginetplore LLC. These Terms do not grant you any ownership rights in our Services.

You retain ownership of your practice data, patient data, and content you provide to us. By using our Services, you grant us a limited license to process your data solely to provide the Services to you.

The DigiNetDental name, logo, and brand elements are trademarks of Diginetplore LLC. You may not use our trademarks without prior written consent.

8Patient Data & HIPAA Obligations

As a dental practice using our Services, you are a Covered Entity under HIPAA. DigiNetDental operates as your Business Associate. You agree to:

• Execute a Business Associate Agreement (BAA) with us before processing any PHI
• Use our Services in compliance with HIPAA and all applicable healthcare regulations
• Obtain necessary patient consents for AI-assisted call handling and recording
• Ensure your patients are informed that calls may be answered by an AI agent
• Not transmit PHI to us beyond what is necessary for appointment scheduling

We will comply with our obligations as a Business Associate, including appropriate safeguards for PHI, breach notification, and compliance with HIPAA Security and Privacy Rules.

9Third-Party Services

Our Services integrate with third-party platforms including:

• Retell AI — voice agent technology
• Stripe — payment processing
• Supabase — database and authentication
• Resend — email delivery
• Google Calendar — calendar integration

Your use of these integrated services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

10Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, error-free, or completely secure
• The AI agent will achieve any specific number of appointments beyond the guaranteed 20
• All calls will be answered or all appointments successfully booked
• Integration with third-party PMS systems will always function without interruption

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGINETPLORE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

12Indemnification

You agree to indemnify, defend, and hold harmless Diginetplore LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law or regulation, including HIPAA
• Your practice's handling of patient data
• Any third-party claims related to your use of the Services

13Termination

Either party may terminate these Terms at any time:

• You: Cancel your subscription through your account dashboard or by emailing us. Termination takes effect at end of current billing period.
• Us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in fraudulent activity.

Upon termination, your right to use the Services ends immediately. We will retain your data for 90 days after termination to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

14Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in Prince William County, Virginia, except that either party may seek injunctive relief in court for intellectual property violations.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
